1. Definitions
In these Terms and Conditions:
- "Service" refers to the data analytics consulting services provided by DeepGrid, including Data Landscape Audits, Predictive Analytics Implementation, and Analytics Dashboard Design.
- "Client" or "You" refers to the individual or organization engaging DeepGrid for services.
- "We", "Us", or "Our" refers to DeepGrid.
- "Agreement" refers to these Terms and Conditions together with any service-specific agreements or proposals.
- "Deliverables" refers to the reports, models, dashboards, documentation, or other outputs produced as part of a service engagement.
2. Acceptance of Terms
By engaging DeepGrid's services, accessing our website, or submitting an inquiry through our contact form, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
3. Services Description
DeepGrid provides professional data analytics consulting services to organizations in Malaysia and internationally. Our services include:
- Data Landscape Audits to assess data maturity and readiness
- Predictive Analytics Implementation including model development and deployment
- Analytics Dashboard Design for metric visualization and monitoring
The specific scope, deliverables, timeline, and pricing for each engagement are outlined in individual service proposals or statements of work, which form part of the overall agreement.
Service availability may vary by geographic location and is subject to our capacity and resource availability.
4. Client Responsibilities
4.1 Information Provision
Clients agree to provide timely access to necessary data, systems, personnel, and information required for service delivery. Delays in providing required inputs may impact project timelines.
4.2 Acceptable Use
Clients agree to use our services and deliverables only for lawful purposes and in accordance with these terms. Prohibited activities include:
- Violating any applicable laws or regulations
- Infringing intellectual property rights
- Misrepresenting the capabilities or limitations of deliverables
- Reverse engineering proprietary methodologies
4.3 Data Quality
Clients are responsible for the accuracy and quality of data provided for analysis. We are not liable for analytical outcomes based on inaccurate or incomplete client data.
5. Intellectual Property
5.1 Our Intellectual Property
DeepGrid retains all intellectual property rights to our methodologies, processes, tools, and general knowledge. This includes:
- Analytical frameworks and approaches
- Software tools and code libraries
- Training materials and documentation templates
5.2 Client License
Upon full payment, clients receive a non-exclusive, non-transferable license to use project deliverables for their internal business purposes. This license does not permit:
- Reselling or sublicensing deliverables to third parties
- Reverse engineering methodologies for commercial use
- Removing attribution or proprietary notices
5.3 Client Data
Clients retain ownership of all data provided to DeepGrid. We claim no ownership rights to client data and use it solely for delivering contracted services.
6. Payment Terms
6.1 Pricing
Service fees are outlined in individual proposals and are quoted in Malaysian Ringgit (RM). Prices are valid for 30 days from the proposal date unless otherwise specified.
6.2 Payment Schedule
Unless otherwise agreed, payment terms are:
- 50% deposit upon project commencement
- 50% balance upon project completion and delivery
Payment is due within 14 days of invoice date. Late payments may incur interest charges at 1.5% per month.
6.3 Expenses
All quoted fees include standard project expenses unless explicitly stated otherwise. Additional expenses requiring client approval will be documented and invoiced separately.
7. Confidentiality
Both parties agree to maintain confidentiality of sensitive information shared during the engagement. This includes:
- Client business data and proprietary information
- Project findings and analytical insights
- Commercial terms and pricing
Confidentiality obligations do not apply to information that:
- Is publicly available through no fault of the receiving party
- Was rightfully possessed before disclosure
- Must be disclosed by law or court order
We may reference client engagements in general terms (industry, project type) for marketing purposes unless otherwise agreed, but will not disclose confidential details.
8. Disclaimers
8.1 Service Disclaimers
Our services are provided on an "as is" basis. While we apply professional standards and best practices, we make no guarantees regarding:
- Specific business outcomes or financial returns
- Accuracy of predictions or forecasts
- Complete elimination of data quality issues
8.2 Professional Advice
Our services provide analytical insights and technical implementations but do not constitute:
- Legal advice or regulatory compliance certification
- Financial advice or investment recommendations
- Medical or health-related guidance
Clients should consult appropriate licensed professionals for such matters.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law:
- Our total liability for any claims arising from a service engagement shall not exceed the total fees paid for that engagement
- We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or data loss
- We are not liable for damages resulting from client's misuse of deliverables or failure to follow documented usage guidelines
These limitations apply regardless of the legal theory under which liability is claimed.
10. Termination
10.1 Termination by Client
Clients may terminate an engagement with 14 days written notice. Client remains responsible for:
- Payment for work completed to date
- Any non-cancellable third-party expenses incurred
10.2 Termination by DeepGrid
We may terminate an engagement if:
- Payment terms are not met
- Client breaches material terms of the agreement
- Required client cooperation or information is not provided
10.3 Effects of Termination
Upon termination, client receives work completed to that point. Confidentiality obligations survive termination indefinitely.
11. Dispute Resolution
11.1 Informal Resolution
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.
11.2 Governing Law
These terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
11.3 Arbitration
If informal resolution fails, disputes may be referred to arbitration under the Arbitration Act 2005 (Malaysia) before litigation is pursued.
12. General Provisions
12.1 Entire Agreement
These Terms and Conditions, together with service-specific proposals, constitute the entire agreement between parties and supersede all prior discussions or agreements.
12.2 Severability
If any provision is found invalid or unenforceable, remaining provisions continue in full force.
12.3 Assignment
Clients may not assign rights or obligations under this agreement without our written consent. We may assign to affiliates or in connection with business transfers.
12.4 Waiver
Failure to enforce any provision does not constitute waiver of that provision or any other provision.
12.5 Force Majeure
Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, pandemics, or government actions.
13. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes become effective upon posting to our website with an updated effective date.
Continued engagement with our services after changes constitutes acceptance of modified terms. For active projects, existing agreements remain unchanged unless both parties agree otherwise.
